Terms of Service

1. Definitions

1.1 For the purposes of these Terms of Service, the following terms have the meanings indicated:

• "Localmente", "we", "us": Localmente S.r.l., owner and operator of the Platform.
• "Platform" or "Service": the SaaS web application accessible at https://app.localmentesrl.it and related services.
• "User": any natural or legal person who registers and uses the Platform.
• "Agency Account": account type for digital marketing agencies or consultants managing multiple clients' Google Business Profiles.
• "Business Account": account type for a local business directly managing its own Google Business Profile.
• "Google Business Profile": the free listing Google makes available to local businesses to appear in search results and on Google Maps (formerly "Google My Business").
• "Google Data": any data received by Localmente through the Google Business Profile APIs following OAuth 2.0 authorisation granted by the User.
• "Generated Content": SEO articles, review responses, Google Business posts, PDF reports, and any other content produced by the Platform at the User's request.
• "Plan": the subscription plan activated by the User, which determines the accessible features and the fees due.
• "Subscription Period": the duration of the activated plan (monthly or annual).

2. Acceptance of Terms

2.1 These Terms of Service, together with the Privacy Policy, govern the contractual relationship between Localmente and the User.

2.2 By completing the registration process or accessing the Platform in any way, the User declares to have read, understood, and fully accepted these Terms of Service and the Privacy Policy.

2.3 If the User acts on behalf of a legal entity (agency, company, association), they declare to have the legal authority to bind that organisation to these Terms.

2.4 If the User does not accept these Terms, they must refrain from using the Platform.

3. Description of the Service

3.1 Localmente is a SaaS platform that allows Users to manage their online reputation and Google Business Profile listings. Key features include:

a) Google Business Profile management
View and update business information (name, address, hours, category, attributes, photos) directly from the Platform via the Google Business Profile API integration.

b) Review monitoring and management
Real-time reception of new Google reviews, AI-powered sentiment analysis, and management and publication of responses on behalf of the business.

c) Google Business post publishing
Create, edit, schedule, and publish updates, offers, and events on the Google Business Profile listing.

d) SEO content generation
AI-powered production of search-engine-optimised articles, with the option to publish directly to WordPress (via OAuth2 or Application Password integration).

e) Local ranking monitoring
Track business visibility in geo-localised searches via the AI Tracker and Rank Tracker modules.

f) Report generation
Generate PDF reports on review trends, sentiment analysis, and the business's online reputation.

g) Multi-location management (Agency Account)
Manage multiple businesses and clients from a single interface, with data separation between different client accounts.

3.2 Localmente reserves the right to modify, update, or expand the Service's features, subject to notice to Users as provided in section 19.

4. Account Registration

4.1 Registration requirements

4.1.1 The following may register on the Platform:

• Adults (at least 18 years of age);
• Legally incorporated legal entities (companies, agencies, sole traders).

4.1.2 Registration is possible via email and password or Google OAuth. The User must provide truthful, accurate, and complete information. Use of false data or third-party identities is prohibited and constitutes grounds for immediate account termination.

4.2 Account types

• Business Account: for those managing a single local business directly.
• Agency Account: for those managing multiple businesses on behalf of third-party clients.

4.3 Account security

The User is solely responsible for the confidentiality of their login credentials. Any unauthorised access must be reported immediately to support@localmentesrl.it.

5. Google Business Profile API Integration

5.1 Nature and purpose of the integration

Some key Platform features require the User to authorise Localmente to access their Google Business Profile account via OAuth 2.0. The integration is voluntary and can be activated or deactivated at any time.

5.2 Requested permissions

Localmente requests the following OAuth 2.0 scope: https://www.googleapis.com/auth/business.manage

5.3 Limited Use Disclosure — Google API Services

Localmente's use of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.

Localmente commits to: (a) use Google Data exclusively to provide the Platform's features; (b) not transfer it to third parties except to necessary technical infrastructure providers; (c) not use it for advertising; (d) not use it to train general-purpose AI models; (e) not allow human access to Google Data except in the limited cases provided in the Privacy Policy.

5.4 Revoking Google authorisation

Via the Platform: Dashboard → Settings → Integrations → Google Business Profile → Disconnect.

Via Google: https://myaccount.google.com/permissions → find "Localmente" → Remove access.

6. User Obligations and Responsibilities

The User agrees to use the Platform in compliance with applicable laws. It is expressly prohibited to publish false or defamatory content, generate fake reviews, attempt unauthorised access to other users' systems, use bots or scrapers, resell Platform access, reverse-engineer the Platform code, or compromise Platform security.

The User is solely responsible for content published via the Platform on Google Business Profile, WordPress, or any other third-party platform.

7. Platform-Generated Content

Content generated by the Platform at the User's request is the exclusive property of the User. Localmente does not guarantee the accuracy, completeness, or fitness for purpose of automatically generated content. The User must verify content before publication and is solely responsible for the consequences of publishing such content.

8. Subscriptions, Payments, and Billing

The Platform is accessible via paid subscription plans. Payments are processed by Stripe Inc. (PCI-DSS certified). Subscriptions renew automatically unless cancelled. No proportional refunds are provided for early cancellation within a paid Subscription Period, except as required by law. Price changes are communicated with at least 30 days' notice before the next renewal.

9. Third-Party Service Integrations

The Platform integrates with Google Business Profile API, WordPress, Microsoft Bing, and Stripe. Localmente is not responsible for the availability or functioning of these third-party services. The User must comply with each provider's terms of service.

10. Support and Communications

Support is available at support@localmentesrl.it. We aim to respond within 2 business days. Contractual communications (Terms changes, price changes, account suspension) are sent by email to the registered address.

11. Intellectual Property

All intellectual property rights relating to the Platform belong exclusively to Localmente S.r.l. A subscription grants the User a personal, non-exclusive, non-transferable, and revocable licence to access and use the Platform. Any reproduction or commercial use without prior written authorisation is prohibited.

12. Limitation of Liability

The Platform is provided "as is" and "as available". Localmente does not guarantee uninterrupted service or specific results. Maximum liability is limited to amounts paid in the 3 months preceding the event. Indirect, consequential, or loss-of-profit damages are excluded. These limitations do not apply in cases of wilful misconduct or gross negligence.

13. Indemnification

The User agrees to indemnify Localmente from any claims arising from breach of these Terms, unlawful content published via the Platform, or unauthorised use of the Service.

14. Account Suspension and Termination

Localmente may suspend or close an account for breach of Terms, fraudulent activity, non-payment, or at the request of a judicial authority. The User may request account closure at any time by writing to support@localmentesrl.it. Upon closure, Google tokens are revoked within 24 hours and data is deleted as per the Privacy Policy.

15. Legal Basis for Data Processing (GDPR)

Data processing is carried out in accordance with the GDPR. The main legal bases are: performance of a contract (Art. 6.1.b), legal obligation (Art. 6.1.c), and legitimate interest (Art. 6.1.f). Users may exercise rights under Arts. 15–22 GDPR by writing to privacy@localmentesrl.it.

16. Governing Law and Jurisdiction

These Terms are governed by Italian law. The competent court is that of Localmente S.r.l.'s registered office, without prejudice to the mandatory jurisdiction of the consumer's court of residence. Consumers may also use the EU ODR platform: https://ec.europa.eu/consumers/odr.

17. Force Majeure

Localmente is not liable for failures caused by events beyond its reasonable control, including natural disasters, network outages, cyberattacks, unilateral changes to third-party APIs, or authority orders.

18. Assignment

The User may not assign their rights without Localmente's prior written consent. Localmente may assign its rights in the event of a merger or acquisition, with prior notice. The User has the right to withdraw without penalty within 30 days if the assignment substantially changes the Service conditions to their detriment.

19. Changes to the Terms of Service

Substantial changes are communicated with at least 14 days' notice by email or in-app notification. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

20. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties. If any provision is found to be invalid, the remaining provisions remain in full force. Failure by Localmente to exercise any right does not constitute a waiver of that right.
